Terms of Use

These Terms of Use (“Terms”) govern your access to and use of Sophic OS, the private application available at app.sophicwealth.com, together with its related portals, APIs, and services (collectively, the “Platform”), operated by Sophic Wealth Group (“Sophic,” “we,” “us,” or “our”).

These Terms apply only to the Platform. They do not apply to our public website at sophicwealth.com, which is governed by the separate Terms of Use and Privacy Policy posted there. If you use both, each set of terms applies to its own site.

Please read Section 16 carefully. It requires most disputes to be resolved by binding arbitration on an individual basis and limits the remedies available to you.

1. Acceptance

By accepting an invitation, accessing, or using the Platform, you agree to these Terms and to the Platform Privacy Policy. If you do not agree, do not use the Platform.

If you use the Platform on behalf of a business, trust, or other entity, you represent that you are authorized to bind that entity, and “you” refers to both you individually and that entity.

2. Invitation-Only Access

The Platform is private and available by invitation only. It is not offered to the general public, and there is no public registration.

Access is granted at our sole discretion to persons we invite. Your invitation is personal to you, non-transferable, and revocable at any time, with or without cause and without notice. You have no right to access or to continued access, and we may decline, limit, condition, suspend, or withdraw an invitation at any time.

You may not share, forward, sell, or transfer your invitation, invitation link, or credentials, or permit any person who has not been separately invited and approved by us to access the Platform or view its contents.

You must be at least 18 years old and legally capable of entering into a binding contract. The Platform is intended for use in the United States. We make no representation that it is appropriate or available for use in any other jurisdiction.

3. Your Account

Accounts are provisioned by us in connection with an invitation, you may not create an account for yourself or for any other person. You must provide accurate, current, and complete information and keep it updated. You are responsible for safeguarding your credentials and for all activity under your account. Enable multi-factor authentication where offered. Do not share your credentials or permit any other person to use your account. Notify us immediately at info@sophicwealth.com if you suspect unauthorized access or that your invitation has been used by someone else.

We may refuse, suspend, or terminate any account at our discretion, including where we reasonably believe an account presents a security, legal, or compliance risk.

4. Limited License

Subject to these Terms and for so long as your invitation remains in effect, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for your own internal, lawful purposes. We reserve all rights not expressly granted.

5. Acceptable Use

You shall not, and shall not permit anyone else to:

  • copy, reproduce, distribute, publish, frame, mirror, scrape, harvest, or create derivative works from the Platform or its contents, except as expressly permitted;
  • reverse engineer, decompile, disassemble, or attempt to derive the source code, structure, or underlying ideas of the Platform;
  • use the Platform, or any data or output from it, to train, fine-tune, evaluate, or develop any machine-learning or artificial-intelligence model or any competing product or service;
  • access the Platform by any automated means, including bots, crawlers, or scripts, without our prior written consent;
  • probe, scan, penetration-test, or otherwise attempt to breach or circumvent any security, authentication, or rate-limiting measure;
  • share, resell, sublicense, forward, or transfer your invitation, invitation link, credentials, or access to any other person;
  • disclose the existence, contents, features, or screens of the Platform to any person who has not been invited and approved by us;
  • upload or transmit malware, or any content that is unlawful, infringing, or that you lack the right to submit;
  • misrepresent your identity, affiliation, or authority;
  • interfere with or place unreasonable load on the Platform or its infrastructure; or
  • use the Platform in violation of any applicable law or regulation.

6. Your Content

You may submit documents, financial information, and other materials (“Your Content”). As between you and Sophic, you retain ownership of Your Content.

You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, and create derived formats of Your Content solely to operate and provide the Platform, to perform the services you request, and as described in our Privacy Policy.

You represent that you have the right to submit Your Content and that doing so does not violate any law or third-party right. You are responsible for the accuracy and completeness of Your Content. Outputs, calculations, and analyses generated by the Platform depend on what you provide.

7. No Professional Advice

The Platform is an information and document-management tool. It does not provide tax, legal, accounting, insurance, or investment advice, and no content on the Platform is a substitute for advice from a qualified professional retained by you.

  • No fiduciary, attorney-client, accountant-client, or advisory relationship is created by your use of the Platform.
  • Illustrations, projections, models, calculators, and estimates are hypothetical, rest on assumptions that may prove incorrect, and are not guarantees of any outcome.
  • Tax and financial results depend on your individual circumstances and on law that changes.
  • You should consult your own attorney, CPA, and financial professionals before acting.

8. No Offer of Securities

Nothing on the Platform constitutes an offer to sell or a solicitation of an offer to buy any security or interest, or a recommendation of any transaction. Any participation in a program is governed solely by separate definitive documents. Where an offering is made, it is made only to persons who qualify and only through those documents.

9. Third-Party Services and Providers

The Platform may integrate with or link to third-party services, and may transmit information to program providers, issuers, administrators, verification providers, and professional advisors in connection with services you request. Those parties operate under their own terms and privacy practices. We are not responsible for their acts, omissions, content, or availability.

10. Intellectual Property

The Platform, including its software, architecture, design, interfaces, models, prompts, databases, content, and the Sophic name, logos, and branding, is owned by Sophic or its licensors and is protected by intellectual property law. Feedback you provide may be used by us without restriction or obligation to you.

11. Confidentiality

Non-public information you access through the Platform, including program materials, methodologies, pricing, and structures, is confidential. You shall not disclose or distribute it except as expressly permitted. Where you have signed a separate confidentiality agreement with us, that agreement continues to apply and controls in the event of a conflict.

12. Fees

Where fees apply, they are set out in a separate written agreement or order form. Unless that agreement says otherwise, fees are non-refundable and you are responsible for applicable taxes.

13. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that any content or output is accurate or complete. Some jurisdictions do not allow certain disclaimers, so some may not apply to you.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOPHIC AND ITS OWNERS, OFFICERS, MEMBERS, EMPLOYEES, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, DATA, GOODWILL, OR TAX BENEFIT, ARISING FROM OR RELATED TO THE PLATFORM, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE PLATFORM IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

These limitations apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some may not apply to you.

15. Indemnification

You will defend, indemnify, and hold harmless Sophic and its owners, officers, members, employees, and affiliates from any claim, loss, liability, and expense (including reasonable attorneys' fees) arising from your use of the Platform, Your Content, your breach of these Terms, or your violation of law or any third-party right.

16. Dispute Resolution; Arbitration; Class Waiver

Please read this Section carefully. It affects your legal rights.

a. Informal resolution. Before starting a formal proceeding, you agree to contact us at info@sophicwealth.com with a written description of the dispute and to negotiate in good faith for sixty (60) days.

b. Binding arbitration. If the dispute is not resolved, it will be settled by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, before a single arbitrator, seated in Clark County, Nevada. Judgment on the award may be entered in any court of competent jurisdiction.

c. Class action waiver. Disputes will be resolved only on an individual basis. You and Sophic waive any right to bring or participate in a class, collective, consolidated, or representative action. If this waiver is held unenforceable as to a particular claim, that claim proceeds in court and the remainder stays in arbitration.

d. Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or other equitable relief in court to protect intellectual property or confidential information.

e. Opt out. You may opt out of arbitration by emailing info@sophicwealth.com within thirty (30) days of first accepting these Terms, stating your name and intent to opt out. Opting out does not affect any other part of these Terms.

17. Governing Law and Venue

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-laws principles. For any matter not subject to arbitration, the state and federal courts located in Clark County, Nevada have exclusive jurisdiction and venue, and you consent to that jurisdiction.

18. Suspension and Termination

We may withdraw your invitation and suspend or terminate your access at any time, with or without cause and with or without notice, including for breach of these Terms or where we reasonably believe continued access presents a security, legal, or compliance risk. Your access ends automatically when your invitation is withdrawn or expires. You may stop using the Platform at any time.

On termination, your license ends immediately. Sections 6 (as to licenses already granted), 7, 8, 10, 11, and 13 through 17 survive. We will handle your data as described in the Privacy Policy and as required by law.

19. Changes

We may modify the Platform or these Terms. If we make a material change, we will update the “Last updated” date and provide reasonable notice: by posting in the Platform, emailing you, or requiring re-acceptance at next login. Continued use after the effective date means you accept the change. If you do not agree, stop using the Platform.

20. General

These Terms, together with the Privacy Policy and any separate written agreement between us, are the entire agreement on this subject matter. You may not assign them without our written consent, we may assign to an affiliate or successor. Our failure to enforce a provision is not a waiver. If a provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the rest remains in effect. Notices to you may be sent to the email on your account, notices to us go to info@sophicwealth.com. Nothing here creates a partnership, joint venture, employment, or agency relationship.
